Founding Partner

Jean-Jérôme advises on mergers and acquisitions, joint-ventures, corporate reorganisations, and acquisition financings. He focuses on complex and strategic projects, with specific expertise in multijurisdictional transactions. His expertise includes all phases of M&A transactions: structuring, financing, due diligence, negotiation and drafting transaction documents.

Background

Jean-Jérôme Khodara is the founder and managing partner of Krossing. Previously, Jean-Jérôme was a Partner at Matouk Bassiouny & Hennawy’s M&A Practice Group (Cairo, Algiers). Jean-Jérôme has also worked with the law firm Gide and with LafargeHolcim, where he was in charge of M&A transactions for Africa & the Middle East. 

He holds degrees from France (Paris-Assas), the UK (Exeter), and the USA (Harvard). 

He has received the award for Single Deal Legal Advisor by Private Equity Africa Awards (2019).

  • University of Rennes (France): Post-Graduate Degree in Business Law – DJCE (1995-1996)

  • Alta Semper Capital on the acquisition of Allmed, the leading producer of haemodialysis solutions in Africa and the Middle East (UK, Egypt & Germany)
  • Barent Risk Management for the spin-off of its insurance and reinsurance business with HRF (France)
  • Renault for the establishment of a joint venture to operate its importation and distribution network in Algeria
  • Oshkosh Corporation (U.S.: N.Y.S.E.), owner of JLG Industries – a global manufacturer of mobile elevating work platforms (MEWPs) and telehandlers – on the acquisition of AUSA (France)
  • Oncologie et Diagnostic du Maroc, the largest oncology, radiology and diagnostic services platform in Morocco, in connection with a €21 million investment (convertible loan) from the Danish Investment Fund for Developing Countries (IFU) (Morocco)
  • Saint-Gobain in connection with the acquisition of IDP for Chemicals S.A.E. (Egypt)
  • Meridian Investment for the divestment of a majority stake in “TBE Egypt for Payment Solutions and Services” to affiliates of BPE Partners (formerly Beltone Private Equity) (Egypt)
  • RMBV (a Dutch private equity investment fund) for the divestment of its minority stake in the transportation and logistics company La Flèche Bleue Algérienne (Algeria)
  • Development Partners International, a pan-African private equity firm, in relation to its minority investment in B.Tech for Trade and Distribution S.A.E., a leading Egyptian distributor of white goods (Egypt)
  • Meridian Investment for the divestment of a majority stake in “TBE Egypt for Payment Solutions and Services” to affiliates of BPE Partners (formerly Beltone Private Equity) (Egypt)
  • KFC for the opening of a restaurant chain in Algeria
  • Capgemini in connection with its initial investment and launch of operations in Egypt
  • Hyundai in connection with the acquisition of a majority stake in Doosan (Algeria)
  • BPE Partners (formerly Beltone Private Equity) on the acquisition of a minority stake in three Egyptian companies (MMID 30, TAQA 50 & PHOENIX), qualified to participate in the second round of the solar Feed-in-Tariff Program (Egypt)
  • GE Power for the restructuring of its joint-venture company in Libya
